(a) Welcome to Keekee360 Design! By using Keekee360 Design, and signing up as a Client, you agree to be legally bound by these Terms and Conditions. Please read these terms carefully. If you do not accept these Terms and Conditions stated here without modification, you may not use the Keekee360 Design service. Keekee360 Design may revise these Terms and Conditions at any time by updating this posting. You should visit this page periodically to review the Terms and Conditions,because they are binding on you.

(b) Revision cycles. Unlimited revision cycles are allowed. However, any verbal or written changes made by Client to the scope of the Work following its initiation by Designer are subject to additional charges. Should such changes negate any part of the Work already completed at the time of the changes, Client accepts responsibility for payment of the completed work and all services related to it, in addition to charges for the change itself.

(c) Payment. Clients registering for the Service must pay for the Service via credit card, or other payment method via PayPal, at the time of registration for the Service. Clients will be charged for the Package(s) selected. Keekee360 Design will email client an invoice for the transactions in which Client is involved. Our fee policy for Clients may change and we may decide to impose additional fees on Clients at any time.

(d) Refunds. If Client is not satisfied with the initial Responses provided by Keekee360 Design, Client may request a refund by contacting Keekee360 Design immediately. Upon timely receipt of the refund request, Keekee360 Design will refund the total payment made by Client. However, once Client requests additional revisions (more than 2 edits), for any of the services purchased, Client shall forfeit the right to the full refund as outlined above. Refunds are not permitted if final files have been sent to Client. Client shall also forfeit the right to a refund if the client does not respond in a timely matter – within 7 days. Should Client receive such refund, Client acknowledges that it will have no rights on all the artwork or content provided to client during the designing process. Refunds are only available to the actual Client who made the purchase. No refund is available for design firms or for those who order our design services on behalf of another entity.

(e) Project duration. Client agrees to provide timely responses to  Keekee360 Design after receiving status notifications from Keekee360 Design. Client shall have 14 days to respond to each set of Responses submitted to Client for review. If after 30 days the Client has failed to so respond,  Keekee360 Design will assume the Project complete and the Project shall be deemed to be complete. At such time,  Keekee360 Design shall have no further obligation to Client, and Client shall pay  Keekee360 Design all fees and expenses associated with work performed by Keekee360 Design.

(f) Eligibility Requirements. To register as a Client, you much be at least 18 years of age, agree to these Terms and Conditions and the Privacy Policy, and complete the registration procedure. By registering as a Client, you represent and warrant that you meet these eligibility requirements, that the information you include as part of the registration process is complete and accurate and, if you are registering on behalf of an entity, that you are authorized to bind that entity to these Terms and Conditions. Keekee360 Design may accept or reject your registration in its sole discretion. The Service is not directed to children.

(g) Operation of Web Site.  Keekee360 Design shall not be responsible for any delays or interruptions of, or errors or omissions contained in, the Web Site.  Keekee360 Design reserves the right, but shall not be required, to correct any delays, interruptions, errors or omissions. Although Keekee360 Design intends to use commercially reasonable efforts to make the Web Site and Service accessible,  Keekee360 Design makes no representation, warranty or covenant that the Web Site or Service will be available at all times or at any time. Various circumstances may prevent or delay availability.  Keekee360 Design may at any time discontinue the Web Site in whole or in part, may change or eliminate any transmission method, and may change transmission speeds or other signal characteristics. Keekee360 Design shall not be responsible for any loss, cost, damage or liability that may result.

(h) Rights of Clients. Subject to Clients compliance with the terms and conditions of this Agreement, Client shall own rights to final artwork provided to Client by  Keekee360 Design hereunder. Client shall not, however, own any materials, media or other content generated during any revision cycles leading up to the final artwork, with such right, title and interest expressly reserved to Keekee360 Design. Client acknowledges and hereby grants to  Keekee360 Design the right to use Revision Briefs and any design artworks created and provided to Client, for internal, archival and other purposes, and in order to display and promote the  Keekee360 Design Service. Client acknowledges that its rights under this Agreement shall be limited.  Keekee360 Design shall not be responsible in otherwise assisting Client in any way in Clients perfection of Clients rights in or to the Responses.

(i)  Keekee360 Design represent that, except with respect to material furnished to you byKeekee360 Design, Keekee360 Design is the sole author of the Work and all of the  services are original and not copied in whole or in part from any other work; that the Work is not libelous or obscene, or knowingly violates the right of privacy or publicity, or any other rights of any person, firm or entity.

(j) Cancellation. Upon written or verbal cancellation, Client is responsible for payment for all expenses incurred and any work done toward the completion of the project based on the percentage of project completed. Should Client cancel the project following its completion, Client is responsible for full payment as per the above estimate plus all other expenses incurred.

(k) General. These Terms and Conditions set forth the entire agreement and understanding of the parties with respect to the subject matter hereof and supersede any and all prior oral or written agreements and understandings, and any and all contemporaneous oral agreements and understandings (excluding any associated agreements required by  Keekee360 Design (e.g., privacy policy) as a condition precedent to Clients use of the Service), between you and  Keekee360 Design regarding the subject matter of these Terms and Conditions. No modification, amendment, or waiver of these Terms and Conditions or Use or any part of them shall be binding unless evidenced in writing and signed by Keekee360 Design. If any provision of these Terms and Conditions is held by a court of competent jurisdiction to be invalid, void, or unenforceable, then such provision shall be deemed null and void, but the remaining provisions shall continue in full force without being impaired or invalidated in any way. The language of these Terms and Conditions shall be deemed to be the language mutually chosen by the parties and no rule of strict construction shall be applied against or in favor of either party hereto. The section headings and other headings contained in these Terms shall not affect the meaning or interpretation of these Terms and Conditions.  Keekee360 Design may assign or otherwise transfer any of its rights or the performance of any of its duties. The waiver by  Keekee360 Design  of a breach or a violation of any provision of these Terms and Conditions shall not operate as or be construed to be a waiver of any subsequent breach or violation of any provision of these Terms and Conditions.
